Berlin – The Hertha BSC GmbH & Co. KGaA entered into a strategic partnership with global investment company TENNOR Holding B.V. in June 2019. Through two capital increases, TENNOR Holding B.V. invested €224 million in return for a 49.9 per cent stake in the Hertha BSC GmbH & Co. KgaA. Both parties have now agreed to a further expansion of the partnership agreement as of Wednesday 1st July, 2020.
Lehmann and Dr. Werlen join supervisory board, Kosicke takes on advisor role
TENNOR Holding B.V. has invested a further €150 million of equity capital in the Hertha BSC GmbH Co. KgaA, and will receive more shares as a result. This investment will be split into two: €50 million will transferred in July 2020, with the remaining €100 million to follow in October 2020. Following this additional investment, TENNOR Holding B.V. will have a 66.6 per cent stake in the Hertha BSC GmbH & Co. KgaA. The parent company Hertha BSC e.V. will continue to appoint the management board, as it holds a 100 per cent stake in the general partner limited liability company.
Both Hertha’s supervisory board and the club’s steering committee, as well as the KGaA’s supervisory board and advisory committee have agreed to this move. TENNOR Holding B.V. will continue to hold four spots on the supervisory board of the Hertha BSC GmbH & Co. KGaA. This board is made up of nine members in total. Jens Lehmann, former Germany international, and Dr. Thomas Werlen, a well-known business attorney and a partner at Quinn Emanuel, have both been officially confirmed as members of the supervisory board of the Hertha BSC GmbH & Co. KgaA. Marc Kosicke, the founder and CEO of the agency Projekt B as well as an advisor to football coaches and executives, will also take up a position as an advisor to TENNOR Holding B.V. Stefan Kindler and Tarek Malak will remain on this board, which is headed by chairman Dr. Karl Kauermann.
